PJSC LUKOIL (hereinafter referred to as the Company) announces the signing of an agreement with the American investment company Carlyle for the sale of LUKOIL International GmbH (a wholly-owned subsidiary of PJSC LUKOIL, which owns the LUKOIL Group's foreign assets). This transaction does not include assets in the Republic of Kazakhstan, which will remain the property of the LUKOIL Group and continue to operate under the relevant license. The agreement is not exclusive to the Company and is subject to a number of conditions precedent, including obtaining the necessary regulatory approvals, including clearance for the transaction with Carlyle from the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). The Company is also continuing negotiations with other potential buyers. The sale of LUKOIL International GmbH is related to the introduction of restrictive measures by certain governments against PJSC LUKOIL and its subsidiaries.
